Notice of 141st Annual General Meeting


The Associations’ 141st Annual General Meeting will be held in the Centenary Lounge on Level 5 at Eden Park on Tuesday 29th October 2024 at 6.30pm. 

 

Under the Rules of the Association the following office bearers shall be elected. 

 

  • Patron 

  • Vice Patrons 

  • President (where the term of office of the current holder has been completed.) 

  • Vice Presidents 

  • Such number of members of the Board of Directors who are required to fill vacancies caused by retirement by rotation or by retirement for any other reason 

 

Nominations 

 

Patron of the Association 

The Patron, John Sparling, is eligible for re-election and is being nominated by the Board. 

 

Vice Patrons 

The Rules of the Association state that there shall not be more than seven Vice Patrons. 

 

The following currently hold office and are being nominated by the Board. 

 

Mr W P Francis ONZM, Mr R M Harris, Mr A E W Parsons, Mr K A Robinson, Mr R B Seaton, Mr M J Simpson, Mr G E Vivian. 

 

As per the Rules of the Association, we are presently not seeking any more Vice Patrons.  

 

President 

Pursuant to rule 6.3 of the Association, the President is elected for a three-year term. Mr Bill Francis has completed the second year of his term and therefore there is no call for nominations. 

 

Vice Presidents  

The Rules of the Association state that there shall not be more than twelve Vice Presidents. 

 

The following currently hold office and have been nominated by the Board. 

 

Ms M Brajkovich, Mr M G Burgess, Judge D J Clark, Mr J S Crocker, Mr T C Egerton, Mr A R Gilchrist, Mr P J Kelly, Mr B D King, Mr P R Lucas, Mr M L Su’a, Mr S C Wilson MNZM. 

 

Any further nominations for the positions of Vice Presidents must be in writing signed by officers of two member clubs, or two Board members, and by the nominee and be lodged at the Association offices at Eden Park by 5pm on Monday 7th October 2024. 

 

Life Members  

Pursuant to Rule 5.1 of the Association Life membership shall be conferred upon a person who by reason of some outstanding service to the Association deserves, in the opinion of the Association, recognition of that service.  

 

Any nominations for Life Members must be made by a Member club, seconded by another Member Club, and signed by officers of the two relevant member clubs, or two Board members, and by the nominee and be lodged at the Association offices at Eden Park by 5pm on Monday 7th October 2024. 

 

Members of the Board of Directors 

In accordance with Clause 8.2 of the Rules of the Association three directors are retiring by rotation. Those directors are Nick Albrecht, Bevan Miles and Kelly Baxter-Rae (retiring by rotation) and Kelly Baxter Rae has chosen to retire. Nick Albrecht and Bevan Miles have signalled their intention to stand again.  

 

Nominations for the Board of Directors close at 5pm on Monday 16th September 2024 in accordance with written advice previously given to Clubs.   

 

The Board Selection Panel, pursuant to rule 8.4 of the Association will meet shortly to interview candidates and make recommendations to the Annual General Meeting. 

 

GENERAL BUSINESS  

 

Other Business 

Pursuant to rule 7.7, any Member Club, Affiliated Club or Associated Organisation that wishes to have any business considered at the Annual General Meeting as general business, must give written notice containing details of such business to the Chief Executive by 5pm Monday 30th September 2024.  

 

VOTING 

The votes which each Member Club is entitled to cast at the Annual General Meeting may only be exercised on its behalf by a Delegate in respect of whom a notice of authority to vote, stating the name of the Delegate and signed by an authorised officer of the Member Club is delivered to the Chief Executive by 5pm one day (exclusive of the day on which the authority to vote is delivered and the day of the Annual General Meeting) prior to the date of the Annual General Meeting.  (Rule 7.3 - paraphrased) 

 

No delegate may represent more than one Member Club, Affiliated Club, or Associated Organisation (Rule 7.3 - paraphrased) 

The closing time for advice of the authorities to vote is 5pm on Friday 25th October 2024.
